1. Introduction
YABUH (“we”, “our”, “us”) is a global technology and business service provider offering Managed IT Support, Local & Remote Staffing, Recruitment, Cybersecurity, Web/App Development, Digital Marketing, SEO, and International Company Formation services.
These Terms govern your access to and use of our website www.yabuh.com, associated forms, digital platforms, and all services offered through them. If you do not agree to these Terms, please do not use our services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use our services. If you are accessing our services on behalf of a company or organization, you confirm that you are authorized to bind that entity.
3. Services Overview
YABUH offers services under the following categories:
- Managed IT Support (SLA-based, full-time, ticket-based, global engineer deployments)
- IT Staffing & Recruitment (local onsite staffing and global remote staff sourcing)
- Cybersecurity Services (managed via trusted third-party solutions)
- Web & App Development (custom-coded and CMS-based development)
- Digital Marketing & Branding (Social Media, SEO, Google ranking services)
- Company Formation & E-commerce Setup (for jurisdictions like the US, UK, UAE, and Canada)
All services are subject to individual agreements, contracts, or NDAs as agreed prior to project commencement.
4. User Responsibilities
By using our services, you agree to:
- Provide accurate and complete information during inquiry, onboarding, and project phases.
- Maintain the confidentiality of your account credentials.
- Comply with all applicable local and international laws.
- Not misuse, duplicate, or resell any YABUH service or intellectual property.
5. Payment Terms
- All payments must be made according to agreed milestones or service contracts.
- Any additional work beyond the original scope will be invoiced separately.
- Certain services (like company formation or SEO packages) may require upfront payment.
- Delayed payments may incur penalties or service suspension.
6. Service Delivery & Timelines
- Project timelines are estimations and may vary based on complexity and external dependencies.
- We strive to meet agreed deadlines; however, delays due to client inaction, third-party issues, or force majeure will not be considered breach of contract.
7. Confidentiality & Data Protection
- We follow strict internal protocols to ensure client data remains secure.
- Sensitive data shared during onboarding or project delivery will be handled undersigned NDAs.
- We do not sell or share your data with third parties except when required for project execution or legal compliance.
8. Intellectual Property
- All intellectual property developed specifically for a client (websites, apps, content, designs, etc.) belongs to the client upon full payment.
- YABUH retains the right to showcase non-confidential work in its portfolio unless otherwise agreed.
9. Third-Party Tools & Vendors
Some services such as Managed IT Services or Digital Service Integrations may involve third-party platforms or providers. While we ensure quality and security, we are not liable for failures or limitations originating from those platforms.
10. Cancellation & Refunds
- Project cancellations must be requested in writing.
- Refunds, if applicable, are governed by the signed service agreement. In general:
- No refund for work already completed.
- Partial refund (minus resource and admin costs) may be possible if cancellation is before initiation and written in agreement.
- Monthly subscriptions (e.g., SEO, support retainers) can be canceled with 15-day notice.
11. Limitation of Liability
To the maximum extent permitted by law, YABUH shall not be liable for:
- Any indirect, incidental, or consequential damages.
- Loss of data, revenue, or business arising from use of or inability to use our services.
- Security breaches or failures resulting from third-party platforms or user negligence.
12. Indemnification
You agree to indemnify and hold harmless YABUH, its employees, and affiliates from any claims, damages, liabilities, or expenses arising from your misuse of our services, violation of these Terms, or breach of any law.
13. Modifications to Terms
We may update these Terms from time to time. You will be notified via email or our website. Continued use of the service constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of Canada, without regard to its conflict of law principles. Disputes shall be subject to the exclusive jurisdiction of courts in Ontario, Canada, unless otherwise mutually agreed.
